Terms and Conditions

1. Introduction and Parties

These Terms and Conditions ("Terms") are entered into between Global AI Services LTD trading as Global Internships ("we," "our," "us," or "the Company") and you ("Student," "you," or "your") in relation to the provision of internship placement services. By accessing, using, or registering for our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our services.

2. Services Provided

Global Internships provides bespoke internship placement services, acting as an intermediary between students and potential employers in London, United Kingdom and New York, United States. Our services include, but are not limited to: matching students with suitable internship opportunities, facilitating introductions between students and employers, providing career guidance and support, and coordinating placement arrangements. We do not guarantee internship placements, and our role is limited to facilitating connections between students and employers.

3. Eligibility and Age Requirements

Our services are strictly available only to individuals who are eighteen (18) years of age or older at the time of registration. By using our services, you represent and warrant that you meet this age requirement. We reserve the right to verify your age and eligibility at any time. If you are found to be under the age of 18, your account will be immediately terminated without refund.

4. Fees and Payment Terms

Our services may be subject to the following fees, all of which will be quoted and approved by you in writing before any charge is incurred:

  • Application fees
  • Placement fees
  • Additional consultancy fees (if applicable)

All fees are non-refundable except as expressly stated in these Terms. Payment processing is handled by third-party payment processors (including but not limited to Stripe), and you agree to their terms and conditions. You are responsible for ensuring that all payment information provided is accurate and current.

5. Refund Policy

Our general policy is that all fees paid are non-refundable. However, refunds may be issued at the sole and absolute discretion of the Company in exceptional circumstances. Any decision regarding refunds is final and binding. Refunds, if granted, will be processed within thirty (30) business days and will be made to the original payment method used, less any applicable processing fees.

6. Placement Guarantee

Subject to your compliance with these Terms, we guarantee that you will receive an internship offer within three (3) months of payment, with typical placement occurring within one (1) to two (2) weeks. In the event that two (2) employers in succession refuse your candidacy with a valid reason, we will offer mandatory coaching and/or consultancy services to upskill you, which will incur additional charges in accordance with our fees list. Such additional charges may be unlimited and are mandatory to maintain the placement guarantee.

If coaching and/or additional consultancy services are provided, the guarantee period will be extended from three (3) months to nine (9) months. If, after the extended guarantee period, we are unable to secure an employer that makes an offer, we will refund the full original placement fee, but not any fees paid for coaching, consultancy, or other additional services.

7. Employer Cancellation or Withdrawal

In the event that an employer cancels or withdraws an internship offer after you have accepted it, we will endeavor to find a suitable replacement placement within three (3) months, with typical replacement occurring within one (1) to two (2) weeks. If we are unable to secure a replacement placement within three (3) months, we will issue a full refund of the placement fee paid.

8. Student Obligations

You agree to the following obligations:

  • Attend every agreed meeting with the employer
  • Attend every checkpoint meeting with the internship coordinator
  • Provide accurate, current, and complete information at all times
  • Maintain professional conduct throughout the placement process
  • Comply with all employer policies and procedures
  • Represent the Company professionally during internships

Failure to meet these obligations may impact your eligibility for future placements and may require payment of additional fees for subsequent placement attempts.

9. Termination for Breach

If you breach any provision of these Terms or any employer's policies, or if you engage in conduct that we determine, in our sole discretion, to be unprofessional, inappropriate, or harmful to our reputation or business relationships, we reserve the right to immediately terminate this agreement without notice. Upon termination, you will not be entitled to any refund, and all outstanding fees remain due and payable.

10. False or Misleading Information

You warrant that all information provided to us, including but not limited to personal details, educational qualifications, work experience, and skills, is accurate, truthful, and complete. If we discover that you have provided false, misleading, or incomplete information, we reserve the right to immediately terminate this agreement without notice and without refund. We may also take legal action to recover any losses incurred as a result of your misrepresentation.

11. Early Termination or Placement Switching

If you wish to terminate an accepted internship placement early or switch to a different placement, you must notify us in writing. Additional fees may apply, and any decision regarding fees, refunds, or alternative placements will be made at our sole discretion based on the circumstances of each case.

12. Cancellation Policy

This is a bespoke service tailored to your individual needs. Once you have entered into an agreement with us and payment has been made, cancellations are not permitted. In the event of cancellation by you, all fees paid will be forfeited and remain non-refundable. This policy reflects the bespoke nature of our service and the resources committed to your placement.

13. Intellectual Property Rights

You retain ownership of all intellectual property rights in any materials you provide to us, including but not limited to CVs, portfolios, work samples, and other documents. However, by accepting these Terms, you grant us a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to:

  • Share, reproduce, publish, and use your materials for any purpose we deem appropriate
  • Use your materials in any medium or format, whether now known or hereafter developed
  • Make commercial use of your materials, including deriving profit from such use
  • Sub-license these rights to third parties

You acknowledge and agree that we may benefit financially from the use of your materials, and you waive any right to compensation or royalties in connection therewith.

14. Testimonials and Marketing

By accepting these Terms, you consent to our use of your name, likeness, testimonials, case studies, and any other materials you provide for marketing, advertising, and promotional purposes in perpetuity and throughout the world. You acknowledge that such use may benefit you through increased visibility and networking opportunities. Your acceptance of these Terms constitutes your express consent to such use, and no additional consent or compensation is required.

15. Visa Sponsorship

We do not provide visa sponsorship services. Any visa requirements, applications, or sponsorship arrangements are the sole responsibility of the employer making the internship offer. We make no representations or warranties regarding visa eligibility, processing times, or outcomes. You are responsible for ensuring that you have the legal right to work in the jurisdiction where the internship is located.

16. Limitation of Liability

To the maximum extent permitted by law, our total liability to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

We shall not be liable for any indirect, consequential, special, incidental, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or emotional distress, even if we have been advised of the possibility of such damages.

17. Warranties and Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding job satisfaction, work environment, or employer conduct
  • Warranties that our services will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of employer information

We do not guarantee that any internship placement will meet your expectations, and we are not responsible for the actions, omissions, or conduct of employers or third parties.

18. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms that is due to force majeure events, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions, labor strikes, or other events beyond our reasonable control. In such circumstances, no refunds will be issued. Instead, services will be extended in perpetuity and will be provided once circumstances permit. Your obligations under these Terms, including payment obligations, remain in full force and effect during any force majeure period.

19. Business Closure or Insolvency

In the event of business closure, insolvency, or cessation of operations, we will make every reasonable effort to provide a full refund of fees paid, subject to the availability of funds. However, if funds are not available due to insolvency or other financial circumstances, no refund will be provided, and you acknowledge that you may be treated as an unsecured creditor.

20. Modifications to Terms

We reserve the right to modify these Terms at any time in our sole discretion. Modifications will be effective immediately upon posting on our website. Existing customers will continue to be bound by the Terms in effect at the time they entered into the agreement, unless we require you to sign new Terms. If new Terms are required for existing customers, you will be asked to sign them, and your continued use of our services constitutes acceptance of the modified Terms.

21. Non-Disparagement and Confidentiality

You agree not to make any disparaging, defamatory, or negative statements about us, our services, employees, or business partners, whether orally, in writing, or through any media, including social media platforms. You further agree to maintain strict confidentiality regarding:

  • Placement details, including employer names and internship specifics
  • Our business processes, methodologies, and proprietary information
  • Any confidential information disclosed to you during the placement process

Breach of this provision may result in immediate termination and legal action for damages.

22. Assignment and Transfer

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or delegate our rights and obligations under these Terms to any third party at any time without notice or consent.

23. Dispute Resolution Procedure

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our services, the following procedure shall apply:

  1. Direct Resolution: You must first contact us in writing at [email protected], clearly setting out the nature of your complaint and the resolution you seek. We will acknowledge your complaint within five (5) business days and will use reasonable efforts to resolve the matter within thirty (30) business days.
  2. Internal Review: If direct resolution is not achieved, your complaint will be escalated to our senior management for internal review. We will provide a written response within twenty (20) business days of escalation.
  3. Mediation: If the dispute remains unresolved after internal review, either party may refer the matter to mediation. Mediation shall be conducted by a mediator agreed upon by both parties or, failing agreement, appointed by the Centre for Effective Dispute Resolution (CEDR). The costs of mediation shall be shared equally between the parties.
  4. Arbitration: If mediation fails to resolve the dispute within sixty (60) days, the dispute shall be referred to binding arbitration in accordance with the Arbitration Act 1996. Arbitration shall be conducted by a single arbitrator appointed by the London Court of International Arbitration (LCIA). The arbitrator's decision shall be final and binding.
  5. Court Proceedings: Notwithstanding the above, either party may seek injunctive relief or other equitable remedies from the courts at any time. Additionally, if arbitration is not available or fails, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

You agree that you will not commence any legal proceedings until you have exhausted the dispute resolution procedure set out above, except where urgent injunctive relief is required.

24. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except as otherwise provided in the Dispute Resolution Procedure above.

25. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that most closely approximates the intent of the original provision.

26. Entire Agreement

These Terms, together with our Privacy Policy and any written agreements signed by you, constitute the entire agreement between you and us regarding the subject matter hereof and supersede all prior or contemporaneous communications, proposals, agreements, and understandings, whether oral or written, relating to such subject matter.

27. Waiver

No failure or delay by us in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. Any waiver must be in writing and signed by an authorized representative of the Company.

28. Third-Party Rights

These Terms are for the benefit of the parties hereto and their respective successors and permitted assigns. Nothing in these Terms shall confer any rights or benefits upon any third party, and no third party shall have any right to enforce any provision of these Terms.

29. Electronic Communications and Signatures

You consent to receive communications from us electronically, including emails, text messages, and notices posted on our website. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Your electronic acceptance of these Terms, whether by clicking "I agree," submitting a form, or using our services, constitutes your signature and creates a legally binding agreement.
